What SIT Co-op is
An organisational and legal entity, not a single product
SIT Co-op is a hybrid consumer cooperative that combines a traditional legal structure, registered under the Russian Federal Law on cooperatives, with a decentralised autonomous governance system — DAO SIT Co-op.
It is not the developer of one particular product but an organisational and legal entity: a legally legitimate cooperative whose governance is partly or fully delegated to a decentralised DAO layer. The cooperative creates an environment where members can collectively develop, govern and monetise intellectual property, make decisions by voting and share the results of joint work fairly.
A platform for collective creativity
Mission
The mission of SIT Co-op is to build a decentralised and legally legitimate platform for collective creativity, ensuring transparency, fairness and efficiency in creating and using intellectual property.
The cooperative combines
- the legal protection granted by Russian cooperative legislation
- the flexibility and innovation of DAO tooling — decentralised governance, smart contracts, tokenisation
This lets members work on initiatives together, govern them together and fairly distribute the income from monetising them.
Geography of operations
Not limited to the Russian Federation — the project intends to expand into the CIS countries, forming a broader and more inclusive community of members from different states.

Philosophy and values
Three deliberate rejections
SIT Co-op is built on a philosophy that deliberately opposes classic corporate and speculative models.
- HierarchyCollaboration
Decisions are made collectively rather than handed down from above.
- SpeculationCreation
The cooperative's economy rewards real contribution, not short-term bets on asset prices.
- CompetitionSynergy
Members and projects inside the ecosystem reinforce each other instead of competing for a limited resource.
SIT Co-op describes itself as an experiment in shaping the economy of the future, one where technology serves people rather than the other way around.
Goals and intentions
Seven intentions of the cooperative
- 01
A self-sufficient ecosystem
Build a self-sufficient ecosystem for the collective development, governance and monetisation of intellectual property.
- 02
Legal protection
Protect members' rights at the level of national legislation rather than relying on digital protection alone.
- 03
Real power to the community
Hand real governance powers to the community through DAO SIT Co-op: fund allocation, strategic decisions and the admission of new members are all recorded by transparent voting.
- 04
Fair distribution
Ensure results are shared fairly — income from joint activity is split between members in proportion to their contribution and share.
- 05
Geographic expansion
Expand from the Russian Federation into the CIS countries, forming an international community of specialists and investors.
- 06
Less bureaucracy
Reduce the cost of bureaucracy and intermediaries wherever that is possible without losing legal legitimacy.
- 07
Public return
Direct part of the profit to socially significant initiatives — a share of the cooperative's income is systematically set aside for social and educational purposes.

Legal and governance architecture
Two circuits that complement each other
The architecture of SIT Co-op deliberately separates two areas of responsibility that complement each other.
Consumer cooperative
legal circuit
An officially registered legal entity responsible for:
- the legal legitimacy of operations
- taxation and accounting
- bank account operations
- legal protection of members' rights under Russian law and other jurisdictions
DAO SIT Co-op
governance circuit
A decentralised layer that provides:
- transparent member voting on key questions
- decentralised management of projects and resource allocation
- automated payouts and the recording of decisions through smart contracts
Levels of governance
- General meeting of membersThe highest body. Decisions are made by voting in the DAO; voting weight depends on a member's share and their reputation in the system.
- Cooperative councilElected annually. Responsible for the development strategy, control of financial flows and execution of DAO decisions.
- Team circlesSpecialised working groups formed for specific tasks.

Who can take part
Two roles, two propositions
SIT Co-op is designed for two types of members, each with its own value proposition.
For authors and specialists
- protection of rights to intellectual work inside the cooperative's ecosystem
- the ability to work on initiatives collectively together with other members
- access to mentorship, resources and a community of like-minded people
- fair distribution of rewards for contribution
For investors and partners
- transparent DAO governance — decisions and financial flows are visible and verifiable
- participation in the cooperative's growth through shares and governance tokens
- diversified participation across the cooperative's different lines of activity
- a focus on socially responsible (ESG) principles — part of the profit goes to socially significant initiatives

Membership procedure
Five steps to membership
- 01
Submitting an application
The interested party submits an application for admission to the Board.
- 02
Review by the Board
An interview is held if necessary; the applicant's qualifications and experience are assessed separately. The outcome is either a recommendation to the general meeting or a refusal.
- 03
Approval by the general meeting
The final decision is made by a majority vote of those present.
- 04
Formalising membership
The decision is recorded in minutes and a membership card of the established form is issued.
- 05
Paying the share contribution
In the manner and within the deadlines set by the Charter; confirmed by a cash receipt order or a bank statement. A non-monetary contribution is valued according to the rules of the Charter.
Refusal and appeal
A refusal is permitted in the case of non-compliance with the Charter, inaccurate information or other lawful grounds.

Principles of the economic model
Dual tokenisation and the golden ratio
The economic model of SIT Co-op is built on dual tokenisation, which serves two distinct functions — governance and reward.
Governance token
Grants voting rights in DAO SIT Co-op, participation in strategic decisions and a share in the income of the cooperative's ecosystem. The number of governance tokens is fixed.
Fixed supplyReward token
Awarded to members for contributing to the cooperative's growth and to the monetisation of intellectual property; its issuance is dynamic and tied to real results rather than speculative demand.
Dynamic supply
Distribution of the cooperative's profit
Built on the principle of the golden ratio
60%to members, in proportion to share and contribution
30%reinvested into the cooperative's development
10%social initiatives
Control of financial flows
- Handled through multi-signature accounts — joint control by the cooperative's council and smart contracts, which increases transparency and reduces the risk of unilateral decisions.
Social mission
Where that 10% goes
Part of the cooperative's profit is systematically directed to socially significant purposes.
Support for open source
Funding development work that becomes available to the community.
Environmental initiatives
Support for ecologically oriented initiatives through crowdfunding and grants.
Educational programmes
Courses and training that raise members' skills in decentralised governance and digital technology.

Infrastructure, risks, conclusion
What holds the model together
Internal governance infrastructure
To coordinate its activity SIT Co-op uses its own internal governance platform — a member portal and dashboard, which provides:
- an overview of balances, shares and member activity
- running votes and delegating voting rights
- managing the projects and tasks of working groups
- treasury reporting across online and offline operations
This platform is a tool for governing the cooperative itself, not a separate product or line of business.
Possible risks and how they are reduced
SIT Co-op builds into its governance model the mitigation of risks typical of hybrid organisations (legal entity + DAO).
Regulatory risks
Reduced by strict compliance with Russian law on production cooperatives and adaptation to the rules of CIS countries.
Low involvement in governance
Reduced through reputation mechanisms and incentives for active participation in voting.
Execution of DAO decisions
Reduced by automatically recording DAO decisions in the cooperative's charter.
